Resource Information
Management Systems, Inc. is a leading vendor of health claims processing
systems to the Health Care and Insurance Industries and is a partially
owned subsidiary of The Travelers Insurance Company. 7% of all U.S.
Health Claims and Encounters are processed on RIMS systems.
Advise Board
of Directors and senior executives on matters of legal consequence
to the company. Independently formulate and manage legal policies,
define and carry out assignments. Personally represent the company
in vigorously pressed disputes involving complex transactions and
difficult issues. These disputes often require a high order of original
and creative endeavor. Select, direct, and coordinate outside counsel.
Personally confer and negotiate with top officers and attorneys of
other organizations. Personally handle routine and non-routine matters
including lines of credit and financings of $2,000,000 to $5,000,000.
Handle legal
affairs for 10 subsidiaries and affiliates including a multi-million
dollar leasing subsidiary; draft, prepare and administer routine and
non-routine agreements (ranging from less than $100,000 to $4+ Million
each). Supervise litigation; intimately involved in the day to day
supervision of major litigation; manage troubled customer and distributor
situations.
Personally handle
a wide variety of transactions and matters; distributor and dealer
agreements; technology development contracts; employment matters;
joint ventures; equity and asset based financings; debt collections;
UCC Article 9 matters; proprietary rights program; software protection
strategies; trademark policies and filings; copyright matters; trade
secret matters; risk control; general manager of leasing subsidiary;
shareholder and buy-sell agreements; employment agreements; incorporations,
non-compete agreements; non-disclosure agreements; private placements
of stock; stock purchase agreements; internal investigations; and
a broad range of varied corporate legal matters.

Practice was
concentrated in the handling of corporate and computer-law matters
for high-tech companies. Typical matters handled:
Commercial
and shareholder disputes; buy-sell agreements; copyright work; distributor
and dealer agreements; employment agreements: incorporations; license
agreements; miscellaneous corporate work; non-compete agreements;
nondisclosure agreements; private placements; shareholder agreements;
software protection strategies; stock purchase agreements; technology
development contracts; and trade secrets.

Vice President of Business Development and General Counsel of Dynaquest
Corporation.
Devoted majority
of time to Dynaquest Corporation, a computer services company. Managed
all legal affairs. Negotiated and structured two rounds of venture
financing including a $1 million dollar R&D limited partnership. Was
directly involved in developing and negotiating relationships with
prospective national accounts, investors and strategic partners. During
this period Dynaquest grew from 5 employees to 30 employees.

Associate Attorney with Myer, New, Berlin & Braude.
Practiced law
with a law firm servicing a mix of closely held companies. Matters
handled were similar to that handled in my subsequent independent
practice except that a substantial portion of my time here was spent
litigating disputes.

Teaching Activities
Have been active
in providing continuing legal education to the Bar on matters relating
to high-tech industry.
Lectured at "Contracting
for Computers and Related products and Services" a two day course
given by IICLE (the Illinois Institute for Continuing Legal Education,
a nonprofit bar supported organization). Was contributing author to
the related course book. Organized, as part of a committee, a subsequent
IICLE course titled "Marketing and Protecting Rights in Computer Software."
This Course was later promoted nationally by the ABA. Have chaired,
organized, spoken at and/or authored materials for a number of Bar
sponsored courses and seminars.
